These Terms of Use (“Terms”) govern your access to and use of Ed-Cred’s websites, applications, and related services (collectively, the “Services”). By creating an account, submitting content, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be able to form a binding contract in your jurisdiction and meet any minimum age we specify in the product. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.

2. Accounts

You are responsible for safeguarding your credentials and for activity under your account. Notify us promptly of unauthorized use. We may suspend or terminate accounts that violate these Terms or pose risk to the platform.

3. Acceptable use

You agree not to misuse the Services—including no hacking, scraping that burdens our systems without permission, distributing malware, impersonation, or circumventing security. You will follow our Review Guidelines for all review content.

4. Your content

You retain ownership of content you submit. You grant Ed-Cred a worldwide, non-exclusive license to host, reproduce, modify (e.g., format), display, and distribute your content as needed to operate, promote, and improve the Services and to enforce our policies. You represent that you have all rights necessary to grant this license.

5. Moderation

We may review, refuse, edit, or remove content at our discretion, including through automated tools and human moderators. We are not obligated to publish any submission.

6. Subscriptions and fees

Paid features (including subscriptions and dispute fees) are billed as described at purchase. Taxes may apply. Unless stated otherwise, fees are non-refundable except where required by law or as explicitly offered in the product.

7. Disputes between users

You are solely responsible for your interactions with other users. Our formal dispute process for reviews is described in the Dispute Guidelines.

8. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW. See also our Legal Disclaimer.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ED-CRED WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO ED-CRED FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US$100), EXCEPT WHERE PROHIBITED BY LAW.

10. Indemnity

You will defend and indemnify Ed-Cred and its affiliates against claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your content, your use of the Services, or your violation of these Terms.

11. Termination

You may stop using the Services at any time. We may suspend or terminate access with or without notice for conduct that we believe violates these Terms or harms the platform or others.

12. Changes

We may modify these Terms by posting an updated version. Continued use after the effective date constitutes acceptance, except where additional notice is required by law.

13. Governing law

Unless a different jurisdiction is required by mandatory law, these Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Courts in that jurisdiction may have exclusive venue for disputes, unless applicable law provides otherwise.
